Coeur d’Alene Trust Call for Contractor Qualifications: The Coeur d’Alene Trust (Trust) was established to coordinate the investigation, design, and implementation of remedies for environmental impacts associated with former mines, mills, and tailings piles in the Coeur d’Alene River Basin. The Trust is soliciting qualifications from construction contractors to perform the Flynn Mine and Black Bear Fraction Remedial Action Construction Project in the Canyon Creek Basin within the Upper Basin of the Bunker Hill Mining and Metallurgical Complex Superfund Site. CITY OF COEUR D’ALENE, IDAHO Summary of Ordinance No. 3759 Ordinance Authorizing the Issuance and Providing for the Sale of General Obligation Bonds, Series 2025 of the City of Coeur d’Alene, Idaho, Authorizing the Manner of Sale of the Bonds, Delegating Authority to Approve the Terms, Provisions and Sale of the Bonds, and Providing for Related Matters. Section 101 (Definitions) defines certain capitalized terms used in the Ordinance. Section 201 (Authorization of Bonds, Principal Amount, Designation and Series) provides that the Ordinance is adopted pursuant to the provisions of Sections 50-1019 and 50-1026, and the Municipal Bond Law of the State of Idaho, being Idaho Code, Title 57, Chapters 2 and 9 (collectively, the “Act”) to authorize its General Obligation Bonds, Series 2025 (the “Bonds”) in the principal amount of up to $16,400,000. Section 202 (Purpose) sets forth that the Bonds shall finance the Project authorized by the City’s May 20, 2025, successful general obligation bond election together with costs of issuance. Section 203 (Issue Date) provides that the issue date shall be the date of delivery of the Bonds. Section 204 (Accrual of Interest) provides that each Bond shall bear interest from a date certain in relation to its date of registration and authentication. Section 205 (Denominations and Numbers) provides that the Bonds shall be issued as fully registered bonds, without coupons, in the denomination of $5,000, or any integral multiple thereof, not exceeding the amount of each maturity. Section 206 (Paying Agent and Bond Registrar) provides for the appointment of Zions Bancorporation, National Association, as the Paying Agent and Bond Registrar for the Bonds and provides for payment of principal and interest on the Bonds at the corporate trust office of the Paying Agent. Section 207 (Redemption) provides for the provisions of redemption of the Bonds if the Bonds may be redeemed if provided by Section 209 of the Ordinance. Section 208 (Authorization of Actions Preliminary to Sale of Bonds) provides for the sale of the bonds by negotiated sale to Piper Sandler & Co. (the “Underwriter”), the publication of the Notice of Sale of the Bonds set forth in Exhibit D to the Ordinance, the preparation and completion of the preliminary official statement (the “POS”) related to the offering of the Bonds, the approval changes to the POS reflecting the final terms and provisions of the Bonds (thereafter referred to as the “Official Statement”), the authorization of the Bond Purchase Agreement between the City and Underwriter for sale of the Bonds, and approval of the Information Reporting Agreement, set forth in Exhibit C to the Ordinance, between the City and Paying Agent. Section 209 (Sale of Bonds and Related Documents; Delegation Authority) provides the City’s Delegated Officers the power to make certain determinations on the date of sale of the Bonds, without any requirement that the members of the City Council meet to approve such determinations, subject to certain limitations provided in the Ordinance, provided that such determinations will be certified by the Delegated Officers in a Delegation Certificate as set forth in Exhibit B to the Ordinance. Section 210 (Execution of Bonds) provides procedures for execution and authentication of the Bonds by the appropriate officials of the City. Section 211 (Establishment of Accounts and Funds) provides for the creation of certain accounts and funds in the accounting records of the City. Section 212 (Delivery of Bonds; Application of Proceeds of Bonds) provides for the delivery of the Bonds to the purchaser thereof and the deposit and use of proceeds of the sale of the Bonds. Section 213 (Costs of Issuance Fund) provides for the creation of a Costs of Issuance Fund in the hands of the Paying Agent whereby the City may deposit proceeds of the Bonds to pay costs of issuance of the Bond. Section 214 (Defeasance) provides the procedures, terms and conditions for payment of principal or the redemption price, and if applicable, interest due or to become due thereon of certain Bonds with moneys set aside and held in trust for payment on the applicable redemption or maturity date such that said Bonds will be deemed to have been paid in accordance with the terms of the Ordinance. Section 215 (Further Authority) provides additional authority for the Mayor, Clerk, Treasurer and Delegated Officers to do or perform all such acts and to execute all such certificates, documents and other instruments as may be necessary or advisable to provide for the issuance, sale and delivery of the Bonds and the fulfillment of the covenants and obligations of the City contained in the Ordinance. Section 301 (Transfer of Bonds) provides transfer provisions related to the Bonds. Section 302 (Exchange of Bonds) provides exchange provisions related to the Bonds. Section 303 (Bond Registration Books) provides that the Ordinance shall constitute a system of registration for purposes of chapter 9 of Title 57, Idaho Code. Section 304 (List of Bondholders) provides that the Bond Registrar shall maintain a list of owners of the Bonds. Section 305 (Duties of Bond Registrar) provides the duties of the Bond Registrar with respect to the Bonds. Section 401 (Book-Entry Systems, Limited Obligation) Section 402 (Representations Letter) provides authorization for the execution of a Representations Letter for the purpose of effectuating the book-entry-only system with DTC with respect to the Paying Agent and Bond Registrar. Section 403 (Transfers Outside Book-Entry System) provides alternative procedures for registration of the Bonds by the Bond Registrar in the name of Cede & Co., as nominee of DTC, upon the occurrence of certain events. Section 404 (Payments to Cede & Co.) provides that, so long as any Bond is registered in the name of Cede & Co., as nominee of DTC, all payments with respect to principal of and interest on such Bond and all notices with respect to such Bond shall be made and given, respectively, in the manner provided in the Representations Letter. Section 501 (Levy of Taxes; Pledge of Tax Receipts) sets forth the City’s covenants to pay the debt service of the Bonds when due and shall levy general taxes upon all taxable property of the City sufficient to pay such debt service. The City pledges the full faith and credit of all taxable property in the City to the Bonds. Section 502 (Tax Receipts to Constitute Special Revenues) provides that taxes levied for payment of principal and interest on the Bonds, together with funds then on deposit in the Bond Fund, can be used for no other purpose than payment of principal and interest on the Bonds. Section 503 (Bonds in Registered Form) requires the Bonds to be issued and to remain in fully registered form in order that interest thereon is excluded from gross income for purposes of federal income taxation under laws in force at the time the Bonds are delivered. Section 504 (Arbitrage Covenant; Covenant to Maintain Tax Exemption) authorizes the City’s officials to execute Tax Certificates to establish the Bonds are not arbitrage bonds pursuant to Section 148 of the Code and covenants that the City will not take any action or omit to take any action with respect to the Bonds that would cause the loss of tax exemption under the Code. Section 505 (Investment of Funds) provides that moneys held in any fund or account, including the Bond Fund, shall be invested and reinvested in Investment Securities pursuant to written direction of the City. Section 506 (No Waiver of Limitation Provisions) provides the covenant of the City that the City will not waive the time limitation provisions of Section 34-2001A, Idaho Code, with respect to the Bond Election. Section 601 (Form of Bonds) provides that the form of the Bonds shall be in substantially the form as Exhibit A to the Ordinance. Section 701 (Ratification) ratifies, confirms and approves all proceedings, resolutions, and ordinances in connection with the sale and issuance of the Bonds. Section 702 (Severability) provides that other covenants and agreements in the Ordinance are not affected if one is made invalid. Section 703 (Conflict) repeals all resolutions, orders and regulations or parts thereof conflicting with the Ordinance.
