NO. 31652 DEPARTMENT OF PUBLIC SERVICE REGULATION BEFORE THE PUBLIC SERVICE COMMISSION OF THE STATE OF MONTANA In re NorthWestern Corporation’s, Black Hills Corporation’s and NorthWestern Energy Group, Inc.’s, Joint Application for Approval of Merger Docket 2025.10.078 November 3, 2025 Notice of Application and Intervention Deadline 1. On October 20, 2025, Black Hills Corporation (“Black Hills”) and NorthWestern Energy Group, Inc. (“NorthWestern Group”) (collectively the “Merger Parties”), and NorthWestern Corporation d/b/a NorthWestern Energy (“Northwestern”) (together with the Merger Parties, the “Joint Applicants”) filed with the Montana Public Service Commission (“Commission”) a Joint Application for Approval of Merger (“Joint Application”). The Merger Parties and River Merger Sub Inc. (“MergeCo”), a newly created subsidiary of Black Hills, have entered into an Agreement and Plan of Merger (“Merger Agreement”) under which NorthWestern Group will merge into MergeCo and become a subsidiary of Black Hills. NorthWestern Group will continue to be the parent of NorthWestern. Black Hills will be renamed and will be the publicly traded holding company going forward. The Joint Applicants represent the merger is a stock-for-stock transaction. It will be tax-free, not involve cash, and not require the Merger Parties to refinance existing debt or incur more debt. The Merger Agreement requires Commission approval. If the Commission approves the Merger Agreement, following the merger, the Merger Parties’ Montana utility subsidiaries – Black Hills Power and NorthWestern – will remain unchanged in structure and operation. 2. A copy of the Joint Application is publicly available at the Commission’s business office, 1701 Prospect Avenue, Helena, MT 59601, and online at the Commission’s website (psc.mt.gov) under Docket No. 2025.10.078.
